I. BASIC PROVISIONS
Article 1.
Name
The Association shall be named: European Movement in the Republic of Macedonia.
The European Movement in the Republic of Macedonia (hereinafter: Movement) is
a citizens' association according to the Law on Citizens' Associations and Foundations
(Official Gazette of the Republic of Macedonia No. 31/98).
The shortened form of the Movement's name is EMRM .
Article 2.
Affiliation
The Movement is a full member of the international association "European
Movement" (Mouvement Europeen, European Movement) seated in Brussels -
Belgium.
The Movement takes on the traditions and activities of the Macedonian Council
of the European Movement, established in Skopje in 1991.
Article 3.
Seat
The seat of the Movement is in Skopje.
The Executive Board of the Movement shall decide on the address of the seat.
Article 4.
Aims
The basic aim of the Movement is to contribute to the establishment of a united
federal Europe, founded on the respect of basic rights, peace principles, democratic
principles of liberty and solidarity and citizens' participation.
The Movement shares the endeavours to build a European model of society, that
guarantees - for all citizens - freedom, security, work and social solidarity,
cultural fulfilment, protection of the environment and the quality of life.
Particularly striving for Europe without any division lines, the Movement shall
especially commit itself to: spreading the European spirit and ideas in the
Republic of Macedonia; full integration of the Republic of Macedonia in the
European Union; to embrace in the Republic of Macedonia the values that present
the base for the European integration, as well as active participation of the
Republic of Macedonia in the building of united Europe.
Article 5.
Tasks
In pursuing its aims, the Movement shall especially work on:
Raising the public awareness about the European values, achievements and the
future of the European integration in the Republic of Macedonia;
Encouraging understanding, mutual recognition and diverse and free communication
among people, communities, organisations and states in the single European space,
Objective and analytical examination of the status, needs and prospective of
the relations between the Republic of Macedonia and the European Union, as well
as identification and promotion of the interests of the Republic of Macedonia
in the integrative process;
Contribution to the development of democratic dialogue on all issues of European
integration, on the implementation of the basic European values in the social
and legal system, as well as in the public life in the Republic of Macedonia,
and on the rapprochement of the Republic of Macedonia to the European Union,
Development of civil society in the Republic of Macedonia and its involvement
and contribution to the realisation of the vision of "Citizens' Europe",
Encouragement of good neighbourly and regional co-operation based on common
European aspirations, and
Other tasks that derive from the aims of the Movement.
Article 6.
Manner of Action
The Movement shall accomplish its aims and tasks through: a) permanent activity
and co-operation of its members, on the territory of the Republic of Macedonia
and at the international level; b) organisation of seminars, debates, congresses,
conferences, colloquia, round tables and other forms of debate and exchange
of opinions; c) carrying out educational, training and informative activities;
d) research and study activities; e) publishing; f) expositions and other public
events g) organising other activities in accordance with the aims of the Movement.
Article 7.
Co-operation with other organisations
The Movement co-operates with other members (full and associated) of the International
European Movement.
The Movement co-operates with NGO's and other organisations with similar aims
from the Republic of Macedonia and other countries. The General Council of the
Movement decides on affiliation with any of those organisations.
Article 8.
Non-discrimination and Neutrality
The actions of the Movement shall be based on the principle of non-discrimination,
on any ground.
The Movement is neutral towards party affiliation.
II. MEMBERSHIP
Article 9.
Members
Members of the Movement may be: a) single members, b) collective members, v)
honorary members.
Any adult, citizen of the Republic of Macedonia, who accepts the goals and the
Statute of the Movement, may become a single member of the Movement.
A person who is not a citizen of the Republic of Macedonia may also become a
member of the Movement.
Affiliation is free willing and expressed through an admission form.
Any organisation, association, enterprise, institution or other legal entity
with a seat on the territory of the Republic of Macedonia that accepts the aims
and the Statute of the organisation may become a collective member of the Movement.
Any natural or legal entity, having achieved a special contribution to the realisation
of the Movements' goal, may become an honorary member of the Movement.
A register of the members shall be kept and regularly updated, at least once
a year.
The Movement grants anonymity of personal data of members, upon request.
Article 10.
Membership Fee
The amount of the membership fee paid by single members shall be determined
by the General Council.
The Collective members shall pay a membership fee in an amount and manner fixed
in a separate contract with the corresponding collective member.
The honorary members - physical entities shall pay a membership fee equal to
the fee determined for single members.
Article 11.
Termination of membership
The quality of single membership terminates by abandoning membership, on the
basis of a written statement, or through exclusion.
The quality of collective membership terminates upon the termination of the
validity of the contract, or through exclusion.
A member who through his/her behaviour and acts violates the Statute and the
reputation of the Organisation, or has not paid the membership fee longer than
three years, shall be excluded from membership, upon a Decision of the Executive
Board.
The member has the right to submit an appeal to this decision to the General
Council, within 15 days of the day of receipt of the decision.
Upon termination of membership, the admission form shall be returned.
III. ORGANISATION AND ORGANS OF THE MOVEMENTS
Article 12.
Branch
A branch of the Movement may be formed on a territory of one or more municipalities
or the City of Skopje, with at least ten members of the Movement.
The manner of functioning and organisation of the branches shall be stipulated
in a regulation adopted by the General Council.
In accordance with the Regulation from Par. 2 of this Article, the Executive
Board shall adopt a decision on forming or termination of a branch.
The branch may adopt its own programs, plans and other acts in accordance with
the Statute and other acts of the Movement.
Article 13.
Organs of the Movement
The organs of the Movement shall be:
a) General Council (Assembly); b) Supervisory Board v) Executive Board; g) President
of the Movement.
General Council (Assembly)
Article 14.
Status and composition of the General Council
The General Council is the highest organ of the Movement.
The General Council is composed of:
a) All single members of the Movement,
b) Three representatives of each collective member,
v) Honorary members.
Article 15.
Session of the General Council
A session of the General Council shall be held at least once a year.
The President of the Movement shall summon the session.
A session of the General Council may also be summoned upon a proposal of the
Executive Board or at least one fifth of all the Members of the General Council.
If the President does not summon a session within 14 days of the submission,
the Executive Board or the initiators shall summon the session.
The General Council shall be summoned at least eight days before the day of
the session.
Article 16.
Responsibilities of the General Council
The General Council of the Movement shall:
- Adopt and amend the Statute of the Movement,
- Adopt the Programme of the Movement,
- Adopt guidelines and plans for action,
- Adopt an annual report on the activities of the Movement,
- Adopt the final account and the financial plan,
- Examine the Report of the Supervisory Board,
- Decide on alterations of the aims of association,
- Adopt a regulation on the manner of functioning and organisation of branches,
- Decide on affiliation and separation from another association and on affiliation
in federations and international organisations,
- Note the admission of new members and terminations of membership,
- Fix the amount of the membership fee of single members,
- Elect the President of the Movement,
- Elect the Members of the Executive Board, the Vice-Presidents of the Movement
and the Secretary General,
- Elect the Chairman and members of the Supervisory Board,
- Appoint honorary members,
- Decide on appeals on the decisions of the Executive Board and the branches,
- Decide on the termination of the Movement,
- Carry out other tasks deriving from this Statute and the other acts of the
Movement.
The General Council shall also be responsible for all other issues that according
to this Statute are not within the responsibility of any other organ of the
Movement.
In carrying out its responsibilities, the General Council may adopt regulations,
resolutions, decisions, conclusions and other acts.
Article 17.
Decision-making
The General Council may work if at least one fifth of the total number of the
members is present, but not less than twenty members.
The General Council shall make decisions with a majority of the votes of the
attending members, except on issues otherwise stipulated in this Statute.
In case of equal number of votes, the vote of the President shall decide.
In principle, the decision of the General Council shall be made with a public
vote.
The decisions may be made with a secret vote, if more than half of the members
of the General Council declare for a secret vote. A secret vote may be held
only on issues stipulated in Article 16, Paragraph 1, lines 7, 12, 13, 14 and
17 of this Statute.
Minutes of the session of the General Council shall be kept.
Article 18.
Term of Office, Election and Recall
The organs of the Movement shall be elected for a period of two years.
An organ, or a member of an organ may be re-elected after the end of his/her
term.
The General Council shall elect and recall upon a proposal of the Executive
Board, the President or ten members.
An organ, or a member of an organ may submit a resignation. The resignation
shall be submitted in a written form.
The term of office of members elected during the term of office of the corresponding
organ shall last until the expiration of the term of office of that organ.
Executive Board
Article 19.
Composition of the Executive Board
The Executive Board shall be composed of the President and twelve to twenty
members.
From the members of the Executive Boards, the General Council shall elect two
to four Vice-Presidents and a Secretary General of the Movement
The majority of the members of the Executive Boards shall be citizens of the
Republic of Macedonia.
Article 20.
Responsibility of the Executive Board
The Executive Board shall:
- Prepare the sessions of the General Council and draft the acts to be adopted
by the General Council,
- Implement the policy, conclusions, decisions, and other acts adopted by the
General Council,
- Organise and follow the programmed actions of the Movement,
- Submit an annual or periodical report on its work,
- Establish committees, sections, working and study bodies and other forms of
action deriving from the programmes and other acts of the Movement,
- Organise the activities in the field of international co-operation,
- Designate delegates in the organs and bodies at international level,
- Decide on forming and termination of operation of a branch,
- Decide on the mode and form of keeping the members' register,
- Decide on the manner of collecting the membership fee,
- Decide on concluding contracts with collective members,
- Decide on exclusion of members of the Movement,
- Attend to the cooperation with other associations, organisations, institutions
and organs,
- Manage and be responsible for the management of the assets of the Movement,
- Decide on establishing a Secretariat as an administration of the Movement,
adopt a Regulation on its operation and perform control over its work,
- Adopt a decision on establishing a company with limited liability and a shareholding
company in achievement of the goals of the Movement,
- Decide on the address of the Movement and attend to the equipment of the premises
and
- Carry out other responsibilities deriving from this Statute and the decisions
and conclusions of the General Council.
In the matters within its responsibilities, the Executive Board may adopt action
plans and programs, regulations, resolutions, decisions, conclusions and other
acts.
Article 21.
Mode of Work and Decision-making of the Executive Board
The President shall chair the meetings of the Executive Board. In cases of his/her
absence, one of the Vice-Presidents shall chair the meeting.
The Executive Board may work if more than half of its members are present.
The decisions of the Executive Board shall be reached by consensus. If consensus
cannot be reached, decisions shall be made by majority of votes cast, by a public
vote.
A member of the Executive Board shall be excluded from a vote on matters connected
to him, his spouse or relative up to the second line and on matters connected
to a legal entity in which he/she has control or financial interest.
Minutes of the meetings of the Executive Board shall be kept.
Article 22.
President
The President shall:
Represent and act for the Movement;
Summon and preside the sessions/meetings of the General Council and the Executive
Board;
Guide the activities for carrying out the decisions of the organs of the Movement;
Sign the decisions and other acts of the Movement;
Authorise the Vice-Presidents to carry out certain tasks within his/her responsibilities.
Article 23.
Vice-Presidents
The Vice-Presidents of the Movement shall replace the President during his/her
absence, or under his/her authorisation and carry out tasks confined to them
by the General Council or the Executive Board.
Article 24.
Secretary General
The Secretary General shall:
Organise and co-ordinate tasks deriving from the decisions of the General Council
and the Executive Board,
Attend to the legality and transparency in the work of the Movement,
Manage the correspondence of the Movement,
Be responsible for the use of the emblem and the seal of the Movement,
Submit proposals for realisation of the acts adopted by the organs of the Movement,
Provide guidance for the operation of the Secretariat.
Article 25.
Supervisory Board
The Supervisory Board shall be composed of a Chairman and four members.
The members of the Supervisory Board shall not be members of the Executive Board.
The Supervisory Board shall perform control over the use and management of the
funds and income of the Movement, on which it shall report to the General Council
at least once a year.
Article 26.
Secretariat
The Executive Board may establish a Secretariat as an administration of the
Movement.
The Secretariat shall carry out expert, research, organisational, administrative
and other tasks for the Movement.
The scope and manner of operation of the Secretariat shall be stipulated in
a regulation adopted by the Executive Board.
The Secretariat shall operate under the guidance of the Secretary General.
IV. TRANSPARENCY
Article 27.
The meetings of the Movement's organs are open to the pubic.
Transparency in the work of the Movement's organs shall be granted by providing
regular information on the activities to its members.
The Movement may publish bulletins, periodicals or other means of information
in a printed or electronic form.
The Movement co-operates with the mass media, through providing regular information
on the Movement's actions, press conferences and other activities.
V. ACQUISITION AND MANAGEMENT OF ASSETS, REPRESENTATION
Article 28.
Acquisition and Management of Assets
The Movement may acquire objects, financial means and property rights.
The financial means may be acquired by membership fees, contributions, donations,
grants and similar.
The Movement may be granted means from the Budget of the Republic, budgets of
the units of local self-government and the Budget of the City of Skopje, based
on properly designed programmes or projects.
The Movement may acquire assets from the income of the companies it has established
with funds of the Movement and from other resources.
The assets of the Movement shall be used in accordance with programmes and financial
plans, as well as other acts adopted by the General Council and the Executive
Board.
For its liabilities, the Movement shall be liable with its property and assets.
Article 29.
Establishment of a Company with Limited Liability and Share-holding Company
The Movement may establish a company with limited liability and a shareholding
company in the aim of accomplishment its objectives, interests and activities
and financing its operation, and especially for carrying out publishing and
research activities.
The decision on the establishment of the company from Paragraph 1 of this Article,
closely determining its aims and field of operation shall be adopted by the
Executive Board.
Article 30.
Check-up of Management of Funds
Every member of the Movement has the right to request check-up of the management
of the funds and the income of the Movement, by submitting a written request
to the Executive Board.
The Secretary General shall attend that the check-up is provided, in the presence
of the Chairman of the Supervisory Board or by him/her designated member of
the Supervisory Board. The check-up shall be provided at the latest 15 days
after the receipt of the request.
Article 31.
Representation
In legal matters and towards third parties the Movement shall be represented
by its President.
The President may, in a written form, authorise another member of the Executive
Board for representation in certain matters or in certain cases.
VI. EMBLEM AND SEAL
Article 32.
Emblem
The emblem of the Movement is the European flag on the left side, and under
it on the right side the text: European Movement - Republic of Macedonia".
Article 33.
Seal
The Movement has a seal.
The Seal of the Movement has a round form. The European flag is in the middle
of the seal, and around it the name of the Movement "European Movement
in the Republic of Macedonia and the seat "Skopje".
VII. FINAL PROVISIONS
Article 34.
Termination of the Movement
The Movement shall terminate in case two thirds of all members of the General
Council vote for it.
Article 35.
Transfer of Property and Funds in Case of Termination
In case of termination of the Movement, the property and funds of the Movement
remained after the settlement of liabilities, shall be transferred to a citizens'
association with similar aims determined by the General Council of the Movement.
Article 36.
Amendments to the Statute
Amendments to the Statute shall be adopted by the General Council, with a two-third-majority
vote of the attending members.
Article 37.
Entering into Force
The Statute shall enter into force on the day of adoption.
